Terms of Service

These Terms of Service (“Terms”) govern your access to and use of SayPick (the “Service”), a voice shopping assistant for Shopify stores provided by SayPick (“SayPick”, “we”, “us”). By installing or using the Service, you (the “Merchant”) agree to these Terms. If you do not agree, do not install or use the Service.

1. The Service

SayPick adds an AI voice assistant to your Shopify storefront that helps shoppers find products from your live catalog, can add items to the cart, navigate the store, and reports the revenue it helps drive. Features may change as we improve the Service.

2. Eligibility & account

You must operate a Shopify store and have authority to install apps on it. You are responsible for activity that occurs through your installation and for keeping your store and settings secure.

3. Plans, billing & trials

  • Paid plans and any usage-based overages are described on our pricing page and billed through Shopify Billing on your regular Shopify invoice.
  • Free trials convert to a paid plan only if you choose one; you are not charged during an active trial.
  • Charges are billed in advance for the applicable period and, except where required by law, are non-refundable.
  • You can cancel at any time by selecting a different plan or uninstalling the app; cancellation stops future charges.

4. Merchant responsibilities

  • You are responsible for the products, prices, descriptions, and policies in your store, and for the offers the assistant communicates on your behalf.
  • You must provide your shoppers with any legally required disclosures and obtain any consents required in your jurisdiction for voice interactions and processing of shopper data. SayPick surfaces a microphone-consent notice, but you remain the controller of your shoppers' data.
  • You will not use the Service unlawfully, to infringe others' rights, or to transmit harmful or abusive content.

5. AI-generated responses

The assistant is automated and grounded in your catalog, but AI systems can still make mistakes or misunderstand a request. The Service is provided to assist shoppers, not as professional, legal, medical, or financial advice. You are responsible for monitoring the Service's suitability for your store and for honoring any commitments made to shoppers.

6. Intellectual property

SayPick and its software, design, and content are owned by us and our licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service while these Terms are in effect. You retain all rights to your store, catalog, and brand.

7. Third-party services

The Service relies on Shopify and on third-party providers for speech recognition, language models, and speech synthesis (see our Privacy Policy). Your use of Shopify is governed by Shopify's own terms. We are not responsible for third-party services outside our control.

8. Availability & warranties

We work to keep the Service reliable but do not guarantee it will be uninterrupted or error-free. The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, to the fullest extent permitted by law.

9. Limitation of liability

To the maximum extent permitted by law, SayPick will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue. Our total liability arising out of or relating to the Service will not exceed the amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold SayPick harmless from claims arising out of your use of the Service, your products or content, or your breach of these Terms or of applicable law.

11. Termination

You may stop using the Service at any time by uninstalling the app. We may suspend or terminate access if you breach these Terms or to protect the Service. On termination, the rights granted to you end and we will handle your data as described in the Privacy Policy.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by the “Last updated” date above. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing law

These Terms are governed by the laws applicable at SayPick's principal place of business, without regard to conflict-of-laws rules. The parties will attempt in good faith to resolve any dispute before pursuing formal proceedings.
